序言近几年来,国际商法已经成为我国高等院校法学专业、国际经济与贸易专业、国际金融专业、国际商务专业、商务英语专业等竞相开设的一门课程;而且,为适应培养一大批国际化专门人才的迫切需要,满足教育部有关双语课程建设的要求,许多高校又纷纷把国际商法作为双语课程来建设和开设。为满足我国高等院校相关专业国际商法双语课程的教学与建设,以及对外经济与贸易实际工作的迫切需要,我们编写了这本《国际商法》(英文版)教材。

文摘Offers may be terminated by revocation, counteroffer, rejection and lapse of time.

1 ) Revocation of offer by offeror.

A revocation of an offer is ordinary effective only when it is made know to the offeree and must be made at the time before it is accepted or at the same time. If the offeree accepts an offer before it is effectively revoked, a valid contract is created. In common law systems, an ordinary offer may be revoked at any time before it is accepted even though the offeror has expressly promised that the offer will be good for a stated period and that period had not yet expired. It may also be revoked even though the offeror has expressly promised to the offeree that the offer would not be revoked before a specified later date. The reason is that the common law systems hold that an offer has no legal effect to the offeror when no considera- tion was given for that promise.

In the United States, a firm offer allows merchants to make offers to buy or sell irrevocably for up to 90 days provided that the offer be put down in writing or otherwise authenticated. The UCC 2-205 states:

"An offer by a merchant to buy or sell goods made in an authenticated record that by its terms gives assurance that the offer will be held open is not revocable for lack of consideration during the time stated. If a time is not stated, the offer is irrevocable for a reasonable time not exceeding 90 days. A term of assurance in a form record supplied by the offeree to the offeror is ineffective unless the term is conspicuous. "

These changes are intended to make the UCC provision more similar to the CISG for the international sale of goods, and more and more meet with the de- velopment of modem economic life.

Moreover, Restatement ( Second) Of Contract 87 states that an offer which the offeror should reasonably expect to induce action or forbearance of a substan tial character on the part of the offeree before acceptance and which does induce such action or
