All terms defined in the Michigan State University Trademark License Agreement between LICENSOR and LICENSEE shall have the same meaning herein.
The undersigned MANUFACTURER understands that LICENSOR is intending to license the above –named LICENSEE to manufacture,distribute and sell LICENSED PRODUCTS incorporating certain trademarks,logo, marks,and trade names which are the property of LICENSOR (the ‘LICENSED MARKS’)
In consideration of LICENSOR granting a license to LICENSEE and consenting to the manufacture of the LICENSED PRODUCTS by MANUFACTURER ,MANUFACTURER hereby agree that:
2. it will deliver all licensee PRODUCTS specifically requested by LICENSEE and will not sell,distribute ,exploit or turn to for its account any of the LICENSED PRODUCTS for its own benefit
3. it will incorporate the correct trademark or service mark notices on each of the LICENSED PRODUCTS and no other;
4. it will not manufacture any other merehandise utilizing or incorporating any of the LICENSED MARKS without written authorization in the form of a specific license or a purchase order from LICENSOR;
5. it will ,in good faith and to the best of its avility ,disclose,maintain ,and provide LICENSOR current information on the name and location of 1. each factory used in the production of LICENSED PRODUCTS ,and 2.each supplier of goods or services used in the manufacture of LICENSED PRODUCTS ,and agrees that LICENSOR may disclose this information to third parties,including the COMPLIANCE ADMINISTRATOR ,without restriction as to its further distribution;
6. it will abide by the workplace code of conduct and participate in and cooperate with the compliance and monitoring program administered by COMPLIANCE ADMINISTRATOR;
